These Terms of Service ("Terms") govern your use of the websites, APIs, SDKs, and wallet infrastructure services (collectively, the "Services") provided by Oviato, Inc. ("Oviato," "we," "us," or "our"). By using the Services, you agree to these Terms. If you do not agree, do not use our Services.

Account Eligibility and Responsibilities

You must be at least 18 years old and capable of entering into a legally binding contract to use the Services. You are responsible for maintaining the confidentiality of your credentials and any activity under your account. You agree to provide accurate information and update it as necessary.

Description of Services

Oviato provides chain-agnostic onboarding and wallet infrastructure tools for developers and businesses. You understand that blockchain-based systems are decentralized and outside Oviato's control. We do not custody, access, or recover private keys or digital assets on behalf of users.

Payment and Subscription Terms

All payments are processed through Stripe. By subscribing to a paid plan, you authorize Oviato to charge your selected payment method for recurring fees. Fees are non-refundable except as required by law or explicitly stated in these Terms. Subscription plans renew automatically unless canceled before the renewal date.

Refund and Dispute Policy

If you believe you were charged incorrectly, contact billing@oviato.com within seven (7) days of the charge. Refunds are processed through Stripe and may take 5–10 business days. Disputes raised directly through Stripe will be reviewed based on transaction history and these Terms.

Cancellation Policy

You may cancel your subscription anytime from your account dashboard. Upon cancellation, premium access continues until the end of the current billing cycle. No prorated or partial refunds are issued. Termination does not affect your obligations for unpaid fees or prior breaches.

Data Protection and Privacy

Oviato complies with the U.S. Privacy Act, CCPA, and GDPR where applicable. Personal data is collected and processed as described in our Privacy Policy. By using the Services, you consent to such processing and to the transfer of your information to the United States.

Legal bases for processing include: (a) contractual necessity, (b) legitimate interests, (c) legal obligation, and (d) consent where required. You have the right to access, correct, delete, or restrict your personal data. Requests can be sent to privacy@oviato.com.

Oviato uses third-party service providers such as Stripe (for payments), AWS or equivalent (for hosting), and analytics providers. Each acts as a data processor under GDPR and is bound by contractual obligations ensuring data security and compliance.

Developer and API Use

Developers using the Oviato SDKs, APIs, or libraries must comply with rate limits, security standards, and all applicable laws. You may not:

  • Reverse engineer, decompile, or copy proprietary code;
  • Use the API for unlawful purposes or to harm others;
  • Circumvent authentication or access controls;
  • Resell or sublicense API access without written consent.

Oviato reserves the right to revoke or suspend API access for abuse, excessive usage, or security concerns.

Blockchain and Wallet Disclaimer

Oviato does not hold, store, or manage cryptocurrency or digital assets. You are solely responsible for safeguarding your keys, seed phrases, and credentials. Oviato cannot recover lost or compromised access credentials.

You acknowledge that blockchain transactions are irreversible and subject to network conditions. Oviato disclaims liability for losses arising from software bugs, chain reorganizations, or protocol-level failures.

Promotions, Credits, and Beta Features

Promotional credits or discounts are issued at Oviato's discretion, are non-transferable, and have no cash value. Beta features are provided "as-is" and may be modified or discontinued at any time without notice.

Export and Legal Restrictions

You may not use the Services if you are located in a jurisdiction subject to U.S. sanctions or export restrictions. You represent that you are not a prohibited party under U.S. law, including the Office of Foreign Assets Control (OFAC) lists.

Oviato reserves the right to immediately terminate access to the Services if we determine, in our sole discretion, that continued provision would violate applicable export control or sanctions laws.

Intellectual Property

All software, content, and trademarks associated with Oviato remain our property or that of our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for legitimate purposes. You may not reproduce, distribute, or create derivative works without written permission.

Limitation of Liability

To the fullest extent permitted by law, Oviato and its affiliates are not liable for indirect, incidental, or consequential damages, loss of data, profits, or goodwill. Our total liability under any claim shall not exceed the total fees paid by you to Oviato in the past six (6) months.

Indemnification

You agree to defend, indemnify, and hold harmless Oviato, its officers, employees, and partners from any claims or damages arising out of your use of the Services, your violation of these Terms, or your infringement of third-party rights.

Arbitration and Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration under the rules of the American Arbitration Association. Arbitration will take place in Delaware, USA. You waive any right to participate in class actions or jury trials.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Changes to These Terms

Oviato may update these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms. The current version will always be available at oviato.com/terms.
